END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Kala Group Technologies LLC (“Company,” “we,” “us,” or “our”) governing your use of the USTelephony24 AI platform, including all software, applications, APIs, AI services, and related services (collectively, the “Platform”).
1. ACCEPTANCE OF TERMS
By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.
2. LICENSE GRANT
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business or personal use, subject to this Agreement.
3. RESTRICTIONS
You agree NOT to:
Reverse engineer, decompile, or attempt to extract source code
Resell, sublicense, or lease the Platform without written authorization
Use the Platform for unlawful, fraudulent, or abusive purposes
Circumvent security or access controls
Use the Platform to violate telecommunications laws (including TCPA, CAN-SPAM, or similar regulations)
4. TELEPHONY & COMPLIANCE RESPONSIBILITIES
You acknowledge and agree:
You are solely responsible for compliance with all applicable laws (including TCPA, 10DLC, Do Not Call regulations, and consent requirements)
You must obtain proper consent before sending SMS, MMS, or making calls
You are responsible for maintaining opt-in/opt-out records
Misuse may result in immediate suspension or termination
5. AI USAGE DISCLAIMER
USTelephony24 AI includes artificial intelligence features. You understand:
AI outputs may be inaccurate, incomplete, or inappropriate
You are responsible for reviewing and approving AI-generated content before use
The Platform is a tool and does not replace human judgment or legal compliance
6. ACCOUNT RESPONSIBILITY
You are responsible for:
Maintaining confidentiality of login credentials
All activity under your account
Ensuring authorized use by your team or agents
7. FEES & PAYMENTS
Certain features require payment (e.g., calling, SMS usage, AI processing)
Fees are non-refundable unless otherwise stated
You agree to maintain sufficient balance for usage-based services
8. SERVICE AVAILABILITY
We strive for uptime but do not guarantee uninterrupted service. The Platform may be modified, suspended, or discontinued at any time.
9. DATA & RECORDINGS
Calls, messages, and interactions may be recorded or stored
You are responsible for notifying participants where required by law
You grant us the right to process data necessary to provide the service
10. INTELLECTUAL PROPERTY
All rights, title, and interest in the Platform remain the property of Kala Group Technologies LLC. No ownership is transferred to you.
11. TERMINATION
We may suspend or terminate your access:
For violation of this Agreement
For legal or regulatory reasons
For non-payment
Upon termination, your license ends immediately.
12. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages
Our total liability shall not exceed the amount paid by you in the past 30 days
14. INDEMNIFICATION
You agree to indemnify and hold harmless Kala Group Technologies LLC from any claims, damages, or liabilities arising from your use of the Platform or violation of this Agreement.
15. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
16. CHANGES TO THIS AGREEMENT
We may update this Agreement at any time. Continued use constitutes acceptance of changes.
